Mumbai (Maharashtra) [India], March 10: Bhatia Communications & Retail (India) Limited has approved the allotment of 1,05,00,000 equity shares following the conversion of an equivalent number of convertible warrants, strengthening the company's capital base and reflecting investor confidence in its growth strategy. The decision was taken at the meeting of the Board of Directors held on March 9, 2026.

The equity shares, having a face value of Re. 1 each, have been issued at a price of ₹23.75 per share, including a premium of ₹22.75 per share. The conversion was carried out after the company received the balance 75% of the issue price from warrant holders, amounting to approximately ₹18.70 crore. The allotment has been made on a preferential basis to members of the promoter group as well as identified non-promoter investors under the public category, in compliance with the applicable provisions of the Securities and Exchange Board of India (SEBI) regulations.

Investors who exercised their rights to convert the warrants into equity shares include Hema Sanjeev Bhatia, Garima Nikhil Bhatia, Forbes EMF, Pankajkumar Kishorkumar Ahuja, and Rahul Rajkumar Chawla. With this allotment, all the outstanding warrants issued earlier have now been fully converted into equity shares, and no warrants remain pending for conversion.

Following the conversion and allotment, the issued and paid-up share capital of Bhatia Communications & Retail (India) Limited has increased to ₹14.06 crore, consisting of 14,06,52,000 equity shares of Re. 1 each. The newly allotted equity shares will rank pari passu with the company's existing equity shares in all respects.

The development marks an important milestone in the company's capital structure and reflects continued investor participation as Bhatia Communications & Retail pursues its growth and expansion initiatives.
