PC Jeweller Limited has announced the allotment of 10,72,37,000 equity shares pursuant to the conversion of 1,07,23,700 fully convertible warrants issued on a preferential basis to select non-promoter investors. The conversion was completed after the company received the balance subscription amount aggregating ₹45.20 crore, representing 75% of the issue price, in accordance with applicable regulatory provisions.

With this allotment, the company's paid-up equity share capital has increased from ₹790.95 crore to ₹801.67 crore. The newly issued equity shares will rank pari-passu with the existing equity shares of the company, carrying identical rights and privileges, thereby ensuring uniform treatment for all shareholders.

The conversion was executed at an adjusted issue price of ₹5.62 per equity share, including a premium, following the earlier sub-division of the face value of equity shares from ₹10 each to ₹1 each. Post-allotment, the company's shareholding pattern reflects a public shareholding of 59.61%, while promoter and promoter-group holding stands at 40.39%, demonstrating enhanced participation from public investors.

The company stated that the allotment was approved by its Board of Directors through a resolution passed by circulation, with all directors consenting to the decision. The approval process was completed on February 24, 2026.
