Ahmedabad (Gujarat) [India], January 19: Shanti Educational Initiatives Limited (SEIL), a listed education-focused company, has informed the stock exchanges that it has issued a Letter of Comfort in favour of its subsidiary, Uniformverse Private Limited, in accordance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

The Letter of Comfort, issued on January 17, 2026, has been provided to ICICI Bank Limited in connection with credit facilities availed by Uniformverse Private Limited. The subsidiary has secured funding amounting to ₹49.90 million from the bank to support its operational and business requirements.

As part of the arrangement, Shanti Educational Initiatives Limited has affirmed its continued commitment to the subsidiary by assuring the lender that it will not dilute its beneficial ownership in the paid-up share capital of Uniformverse Private Limited without prior written consent. In addition, the Company has provided an assurance to keep ICICI Bank indemnified against any losses that may arise due to non-fulfilment of obligations by the subsidiary borrower, subject to the terms outlined in the Letter of Comfort.

SEIL has clarified that the issuance of the Letter of Comfort is intended to demonstrate support for its subsidiary and does not constitute a guarantee. The Company has further emphasized that the Letter of Comfort should not be construed as a guarantee unless a separate deed of guarantee is executed in the future. Accordingly, the disclosure does not, by itself, create any direct financial liability for the listed entity.

The Company has also confirmed that neither the promoter nor the promoter group nor any other group company has any interest in this transaction. The arrangement has been undertaken in the ordinary course of business and is aligned with the Company's strategy of supporting its subsidiaries while maintaining prudent financial discipline and transparency in disclosures.
